🔍Concerns and due diligence report

With ENVE, buyers can actively note concerns during the transaction process. All concerns are automatically aggregated into a comprehensive due diligence (DD) report.

General

As a buyer in a transaction on ENVE, you gain access to specialized functionality that is kept fully separate from the seller’s view. This includes:

  • Mark files and responses provided by the seller as reviewed.

  • Note concerns directly to the files and responses.

  • The ability to automatically generate a complete due diligence report based on buyer-specific notes.

Combined with the integrated Q&A module, this allows the buyer side to manage the entire review process directly within the dataroom.


Noting Concerns and Reviewing Objects

For every uploaded file and every request answered with N/A or a text response, the buyer can note concerns that are directly tied to that object. Using the right-hand panel in the file viewer, concerns can be added at any point during the review. These concerns are then collected on the DD Report page for easy follow-up.

A concern consists of three components:

  1. Grade: Low – Medium – High.

  2. Description: A short explanation of the identified concern.

  3. Recommendation (optional): Suggestions for mitigating or resolving the issue.

Once reviewed, an object can be marked as reviewed. This status is reflected in both folder-level statistics and on the DD Report page, helping the buyer team track overall progress.

If an object is marked as reviewed without concerns or comments, it will not be included in the DD report. This ensures the report remains focused and easy to read.


DD-Report Page

The DD Report page is the central hub for buyer-side due diligence activities. It is divided into three tabs:

Overview

The Overview tab provides:

  • Statistics showing the buyer’s progress in reviewing seller materials.

  • A consolidated list of all noted concerns and comments.

Concerns are grouped by the original request from the data room, clarifying that concerns tied to a file are, by extension, concerns related to the original request it was meant to fulfill. Concerns noted to requests answered with N/A, text answers, or files without a request reference are also clearly indicated.

Clicking an object in the list displays all related files with recorded activity. From here, you can:

  • Edit remarks.

  • Mark files and requests as reviewed.

  • Delete concerns if necessary.

Each concern includes direct navigation back to the associated file or request for quick reference.


Due Diligence Report

A unique feature in ENVE is the automatic generation of a full due diligence report. This can be used both as an interim status report and as the final deliverable for the end client.

In this tab, you can:

  • Edit report headers, introduction, and add a custom disclaimer.

  • Refine and unify the language of remarks to create a cohesive report.

  • Preview the report in real time while making edits.

At the top-right corner, you will find download options:

  • PDF version of the report.

  • Spreadsheets with all remarks.

  • Logs showing which users marked which objects as reviewed.


Settings

The Settings tab gives the buyer side control over who can access DD functionality. Here, you can:

  • Revoke access for specific users.

  • Define whether newly invited users to the buy-side should have access by default.


Exceptions

If the seller owns the data room and has enabled a certain transaction mode, the buyer side will not be able to:

  • Mark objects as reviewed.

  • Adjust default buy-side settings for new users.
