Queries module
The ENVE queries-module (released 10th of February) is tailored for efficient communication between the parties of a transaction.
General information
The queries module is designed to facilitate efficient communication by providing distinct functionalities for both parties involved in a transaction. Specifically, the buyer can submit questions, follow up on them, and enrich the original request list with additional requests, while the seller is limited to responding only to the existing questions and resolving any additional requests.
Question types
In ENVE there are three different question types; (I) question to file, (II) question to resolved request and (III) general question. The queries module will show all questions that are posted in the data room, regardless of question type.
(I) Question to file Questions related to a specific file are categorized as a question to file. The buyer party can post these questions directly through the right-side menu while viewing the file or by linking a question to a file within the queries module. File-specific questions include a file preview and a hyperlink to its location within the folder structure, ensuring the source of the question is always just one click away.
(II) Question to resolved request If a request is marked as resolved with a text answer or classified as "N/A," the buyer retains the right to question the response provided by the seller. These entries are categorized as questions to resolved requests. Similar to file-specific questions, these can be posted directly through the right-side menu when viewing a resolved request or by linking a question to the specific request in the queries module.
(III) General question Any other inquires that is not directed towards a specific file or resolved requests is categorized as a general question. These are standard questions without any specific links or references to the folder structure in the data room, and can only be posted from the queries module.
Question status
To facilitate progress tracking and ensure that all parties involved in the transaction remain aligned, we have introduced question statuses. Currently, a question can have one of two statuses: (I) open or (II) closed.
(I) Open By default, all posted questions are assigned the open status. This indicates that the question is still awaiting a complete response and remains open for replies.
(II) Closed When a question's status is changed to closed, it signifies that the question has been fully answered. Closed questions can be filtered out to provide a clear overview of those still requiring attention. However, users can always re-open a question to submit follow-up questions or additional replies. Re-opening a question will notify all relevant users involved in the reply-thread.
Replies and attachments
The primary function of the seller party in the queries module is to respond to questions posted by the buyer party. This can be done easily by selecting a question to open its reply thread and composing a reply.
To upload attachments to your reply, simply drag and drop documents into the reply input area or click the "Attachments" button located in the lower-right corner. The selected documents will be attached to your reply upon posting.
Additionally, file properties such as download permissions and watermarking can be easily managed when creating the reply. These settings can also be modified later under the "Attachments" tab in the right-side menu of the queries module.
Deletion of questions and replies
Both questions and answers that are published can be visually deleted from the data room. The buyer side can delete their questions by right-clicking or clicking on the three-dot menu ("⠸") on the question and then confirming the deletion. Both the buyer side and the seller side can delete answers in the reply thread of each question using the same method.
Rules Questions can only be deleted before a response has been published
Traceability Even though both questions and answers can be deleted, they will still be traceable through data reports for the data room. These reports will include who deleted the content, when it was deleted and the deleted content itself. Visually, the system will also clearly indicate if a question or answer has been deleted.
Additional requests
If the buyer believes that certain essential files are missing from the folder structure, preventing them from fully conducting their due diligence, they can enrich the original request list by submitting additional requests. Unlike questions, additional requests are placed directly within the folder structure, indicating the need for specific documentation.
Additional requests can be created either directly from the folder structure or via the "Additional Requests" tab in the queries module. To create an additional request, the buyer must select the relevant folder and provide a topic, description, and urgency level. The urgency level serves as a communication tool to indicate if the missing documentation is causing delays in the due diligence process.
