In some cases, it may be wise to require additional approval for certain users before their entries are published, allowing the counterpart in the transaction to view them. This can help maintain quality control, ensure good practices, and provide an extra layer of oversight in critical transactions.
There are several reasons to add an extra layer of approval in a transaction process. For example, you might require it for:
Users who are unfamiliar with the process
Users handling sensitive or high-risk information
External partners who need oversight before publishing entries
Ensuring consistent wording across all questions and answers
With approval mode, you can decide which users on your team (your side of the transaction) need extra approval and for which types of entries. You are also free to choose which users have the right to approve others' posts.
To enable approval mode in your data room, navigate to the "Approval Mode" tab in the application menu on the left side. Start the process, read the instructions, and complete the configuration. Then, use the "Approval Settings" to control which users require additional approval before their entries are published in the data room.
In the first version of approval mode, the following types of entries can be restricted, requiring selected users to submit proposals for approval before they are published to the counterpart:
Asking and Replying to Questions (Buyer Side) The buyer side can specify which users must submit new questions and answers for approval before they become visible to the seller side. This provides better control over the quality and relevance of communication, ensuring that only well-formulated and necessary questions and answers are published.
Creating Additional Requests (Buyer Side) The buyer side can choose which users on their team must submit new additional requests for approval before they are published to the counterpart. Approvers can edit the placement, description, and urgency of the requests before they are made available for the seller to respond to.
Replying to Questions (Seller Side) The seller side can specify which users must submit their replies to available questions for approval before publishing. This ensures that the replies are precise, relevant, and aligned with internal standards before being shared with the buyer side for their assessment.
Resolving Requests and Uploading Files (Seller Side) When sellers resolve requests—whether by providing a text response, selecting "Not Applicable" (N/A) with a justification, or uploading files—these posts can be required to go through an approval process. During this process, approvers can adjust text responses and N/A justifications, as well as remove any files before publishing. This helps ensure that the content shared with the buyer side is accurate, well-considered, and aligned with the transaction.
As an approver, you will receive notifications both via email and within the system whenever new entries require approval. For easy and efficient management, it is recommended to use the "Approval Mode" page. Here, you will find a consolidated overview of all entries awaiting approval.
How Does the Approval Process Work?
Approval mode:
Go to "Approval Mode" to view a list of all entries awaiting approval.
Here, you can easily review and approve or reject entries as needed. By clicking on a entry submitted for approval, you will open the approval dialog (as shown above), where you can edit the suggestion before approving or rejecting it.
Viewing Entries in Other Sections:
Entries submitted for approval will also appear where they were originally suggested for publication.
For example, if a user on the seller side responds to a request with a text answer that requires approval, this post will be marked as "waiting for approval" for other users on the same side.
Visibility for Users:
Non-Approvers: These users will only see that a entry has been submitted and is awaiting approval. They will not be able to view the actual content of the entry.
Counterpart: Users on the opposite side will not see any indication that a entry has been submitted and is waiting for approval.
Tips for Efficient Approval
Regularly check "Approval Mode" to ensure quick processing of entries.
Remember that clear internal communication can help reduce waiting times and improve the user experience.
